Where You Owe
What is nexus?

Nexus is the connection between your business and a state that obliges you to collect its sales tax. It can be physical — an office, staff, or stock held in a warehouse — or economic, meaning you have passed that state's threshold for sales revenue or transaction count within a period.

I sell online from one state. Why would I owe tax elsewhere?

Because economic nexus rules let states require collection from sellers with no physical presence, based purely on sales into that state. Thresholds differ between states, so a growing online business can acquire obligations in several places within a single year without any change to how it operates.

Does a marketplace collect on my behalf?

Often, yes — marketplace facilitator rules make many platforms responsible for collecting on the sales they process. That does not necessarily end your obligations, particularly if you also sell through your own website or other channels. The two need to be looked at together.


Filing and Catching Up
How often do I have to file?

Each state assigns a frequency — monthly, quarterly or annually — usually based on your volume there, and it can be reassigned as you grow. Many states also require a return for periods in which you made no sales, so silence is not an option once registered.

I think I should have registered a while ago. What now?

This is common and it is fixable. Many states offer voluntary disclosure arrangements that limit how far back they will look and reduce or waive penalties for businesses that come forward before being contacted. The advantage disappears once the state approaches you, so earlier is materially better.

Are services taxable as well as products?

It varies considerably by state. Some tax a broad range of services, others very few, and digital products and software subscriptions are treated inconsistently across the country. We confirm the treatment of what you actually sell in each state where you are registered.
